These terms govern your access to and use of the CRM system, its features, and related services. By accessing or using the BBA CRM System, you agree to be bound by these terms and conditions. If you do not agree with any of these terms, you may not access or use the BBA CRM System.

1. Use of the BBA CRM System: a. The BBA CRM System is intended for use by insurance agents and professionals in the insurance industry. b. You agree to use the BBA CRM System solely for lawful purposes and in compliance with all applicable laws and regulations.
2. Account Registration: a. To access and use the BBA CRM System, you may be required to create an account and provide accurate and up-to-date information. b. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. c. You agree to notify the BBA CRM System immediately of any unauthorized use of your account or any other breach of security.
3. Intellectual Property: a. The BBA CRM System and all its contents, including but not limited to software, designs, logos, trademarks, and documentation, are the property of the Bearded Biker Agency or its licensors and are protected by intellectual property laws. b. You are granted a limited, non-exclusive, non-transferable license to use the BBA CRM System for its intended purpose. You may not modify, distribute, reproduce, or create derivative works based on the BBA CRM System.
4. Privacy: a. The BBA CRM System collects and processes personal data in accordance with its Privacy Policy. By using the BBA CRM System, you consent to the collection, storage, and use of your personal data as outlined in the Privacy Policy.
5. Limitation of Liability: a. The BBA CRM System is provided on an "as-is" and "as available" basis. The Bearded Biker Agency does not guarantee the accuracy, reliability, or availability of the BBA CRM System. b. To the maximum extent permitted by law, the Bearded Biker Agency shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in any way connected with the use or inability to use the BBA CRM System. c. The Bearded Biker Agency does not assume any responsibility for the actions or conduct of users of the BBA CRM System.
6. Modifications: a. The Bearded Biker Agency reserves the right to modify or discontinue the BBA CRM System, temporarily or permanently, with or without notice. b. The Bearded Biker Agency may also modify these terms and conditions at any time. Updated terms will be posted on the BBA CRM System website or notified to you through other means. Your continued use of the BBA CRM System after any modifications constitutes your acceptance of the revised terms.
7. Governing Law and Jurisdiction: a. These terms and conditions shall be governed by and construed in accordance with the laws of the jurisdiction where the Bearded Biker Agency is located. b. Any dispute arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts in that jurisdiction.
8. Severability: If any provision of these terms and conditions is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

No Refund Policy:

All sales made through The Bearded Biker Agency ("Company," "we," "our," or "us") are final and non-refundable. We do not offer refunds, returns, or exchanges for any products or services purchased from us, except where prohibited by applicable law.

By proceeding with a purchase from The Bearded Biker Agency, you acknowledge that you have read and understood our No Refund Policy, and you agree to its terms.

Non-Disclosure Agreement (NDA):

This Non-Disclosure Agreement (the "Agreement") is made and entered into as of the date of acceptance, by and between The Bearded Biker Agency Inc., a company organized and existing under the laws of the state of Kansas, hereinafter referred to as the "Disclosing Party," and the party accepting the terms of this Agreement, hereinafter referred to as the "Receiving Party." The Disclosing Party and the Receiving Party may be collectively referred to herein as the "Parties."

Purpose of the Agreement:

The Parties wish to explore and discuss confidential and proprietary information related to a proprietary CRM developed by The Bearded Biker Agency Inc., hereinafter referred to as the "CRM."

Confidential Information:

Confidential Information shall include, but is not limited to, all information, data, trade secrets, know-how, proprietary knowledge, technical data, business strategies, financial information, customer lists, marketing plans, and any other information disclosed by The Bearded Biker Agency Inc. to the Receiving Party, either orally or in writing, for the purposes of installation, setup, and support of the CRM.

Obligations of the Receiving Party:

The Receiving Party agrees to hold all Confidential Information in strict confidence and to take all reasonable precautions to prevent unauthorized disclosure or use of such information.

The Receiving Party shall not, without the prior written consent of The Bearded Biker Agency Inc., use, reproduce, disclose, or disseminate any Confidential Information, except as required in connection with the installation, setup, and support of the CRM.

The Receiving Party shall only disclose Confidential Information to those of its employees and contractors who have a need to know the information for the purposes of fulfilling their responsibilities related to the CRM. The Receiving Party shall ensure that such employees and contractors are also bound by similar confidentiality obligations.

The Receiving Party shall promptly notify The Bearded Biker Agency Inc. in writing of any unauthorized disclosure or use of the Confidential Information and shall cooperate fully with The Bearded Biker Agency Inc. to remedy such unauthorized disclosure or use.

Exceptions:

The obligations of the Receiving Party under this Agreement shall not apply to any information that:

Was known to the Receiving Party prior to its disclosure by The Bearded Biker Agency Inc., as evidenced by written records.

Is or becomes publicly available without any breach of this Agreement by the Receiving Party.

Is independently developed by the Receiving Party without reference to or use of the Confidential Information, as evidenced by written records.

Is rightfully obtained by the Receiving Party from a third party without any obligation of confidentiality.

Duration of Confidentiality Obligations:

The Receiving Party's obligations of confidentiality shall continue for a period of five (5) years from the date of disclosure of each specific piece of Confidential Information.

Return or Destruction of Information:

Upon The Bearded Biker Agency Inc.'s request or upon termination of the business relationship between the Parties, the Receiving Party shall promptly return or, at The Bearded Biker Agency Inc.'s option, destroy all copies of the Confidential Information in its possession, custody, or control and provide written certification of such return or destruction to The Bearded Biker Agency Inc.

Governing Law and Jurisdiction:

This Agreement shall be governed by and construed in accordance with the laws of the state of Kansas. Any legal action or proceeding arising out of or relating to this Agreement shall be brought exclusively in the courts of the state of Kansas, and the Parties hereby consent to the personal jurisdiction of such courts.

Entire Agreement:

This Agreement constitutes the entire understanding and agreement between The Bearded Biker Agency Inc. and the Receiving Party concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.

IN WITNESS WHEREOF, the Parties hereto have executed this Non-Disclosure Agreement as of the date of acceptance.
